If you are looking to incorporate because you are a member organisation or a sports or leisure club our company limited by guarantee package is ideal for your needs.

We have developed this package around the needs of member organisations, such as clubs, society's, professional groupings or trade bodies. Our package combines incorporation as a company limited by guarantee, banking with a range of banking partners (you choose your preferred option when setting up the company in our online Companies House approved software).

Our package includes a printed copy of your certificate of incorporation and a printed copy of your memorandum and articles of association.

A company limited by guarantee protects the membership with limited liability and our articles of association have been carefully written to be easy to understand and comply with UK company law for this type of company.

Good to know

  • This package is not suitable for clients planning to set up a Charity, a Right to Manage Company or if the company name contains the following sensitive words or expressions: association, benevolent, federation, foundation, society or trust.
  • If you need exemption from the use of the word "limited" in the company name, or you have any questions about the suitability of this package for your needs, please call our Company Secretarial colleagues who will be happy to advise you on how best to proceed or guide you through any legal or technical questions you may have. Colleagues are best reached on 0161 835 2323 during our office hours of 0900 to 1600 hours Monday to Friday.
  • Our Company Secretarial colleagues have over 28 years experience forming companies in the UK and they will be happy to assist you in choosing the best option for your company set up. If you want to set up a charity or right to manage company for example, we have bespoke memorandum and articles we can tailor to suit your exact needs. We can also deal with "sensitive word" applications and give advice on how to incorporate without use of the word limited in the company name should you wish.

Our LLP formation package is designed to take care of all the key steps required to correctly register a limited liability partnership in the UK.

An LLP is most suitable for any type of business that would work as a partnership, but an LLP is registered when the partners want to have the protection of limited liability.

LLP's give partners flexibility in how the LLP should be managed and create a separate legal entity enabling perpetual life of the LLP , certain taxation benefits and of course creating a credible professional image.

Typically, we will have your LLP registered the same day (we are dependent on Companies House workload at the time of application!).

Our package includes the LLP Certificate, digital copies of all LLP documents and a free draft LLP agreement template for your use. You also get access to our cloud based Company Manager portal to maintain your LLP's details.

Some things to note before you order:

  1. If you intend to split profits equally between the partners, you don't need a formal LLP agreement in place. For any other options you do, including capital contributions.
  2. The business banking offer in this package is for prospective LLP members who are resident in the UK only. If you are resident outside the UK we are able to help by directing you to Wise, who will be able to help with your banking needs. Just make contact with us anytime after your LLP is formed and we will be able to help you.
  3. Documents posted outside the UK as part of this package will incur postage charges and a handling fee of 15% on top.
